Every informal decision is a liability waiting to surface

“What did we actually decide?”

Decisions made in conversation vanish the moment the meeting ends. Six months later, no one can agree on what was said, what was approved, or what the conditions were.

“Who approved this?”

When decisions happen over email or in hallway conversations, there is no way to trace them back to the people who made them. Accountability becomes a matter of memory.

“We can't prove this was properly authorised.”

Auditors and regulators do not accept recollections. They need evidence of process — who was present, what was proposed, how the vote went, and when the decision was recorded.

“Our records don't meet the requirements.”

Governance obligations require formal, timestamped, attributable records. Meeting minutes are summaries. Email threads are not records at all.

Every decision follows the same rigorous process

From the moment a question is raised to the moment a resolution is recorded — no steps skipped, no shortcuts, no ambiguity.

Step 1

Raise an issue

Frame the decision that needs to be made. Attach exhibits — documents, links, evidence — so every participant starts with the same information.

Step 2

Propose a motion

Put a specific proposal on the table. If your governance rules require it, a second must support the motion before it proceeds.

Step 3

Vote with quorum

Participants submit their vote with a written justification. Quorum and threshold are enforced automatically — a motion cannot pass without the required participation and support.

Step 4

Record the resolution

The outcome is captured as an immutable resolution. Who voted, how they voted, what was decided, and when. Permanently on the record.

Voting with no procedural ambiguity

Every motion has a mechanism: vote, consensus, or chair decides. Set the threshold — majority, supermajority, or unanimous. Set the quorum — by count or by percentage. Decisio enforces both before a motion can pass. No manual tallying, no disputed outcomes.

Vote and Consensus mechanisms require Professional or Enterprise. Chair Decides is available on every plan.

Immutable resolutions

Once a resolution is recorded, it cannot be edited, deleted, or backdated. If circumstances change, you supersede it — creating a new resolution linked to the original. The full decision history is always preserved. The audit trail is complete without any additional steps.

Independent votes. Every voice on the record.

Votes are hidden until you submit your own — preventing groupthink while maintaining full accountability. Every submission includes a justification field, so the reasoning behind each vote is on the record, not just the outcome.

Which type of organisation do you govern?

Boards of directors
Fiduciary decisions deserve more than email approvals. Decisio gives every board resolution a formal voting process, quorum enforcement, and an immutable record that satisfies auditors and regulators.

Executive & advisory committees
Committees need governance rigour without board-level formality. Configure each motion with the right mechanism — chair decides, consensus, or formal vote — and keep sensitive work in private projects.

HOA & strata committees
Owner voting on bylaws and levies, handled properly. Invite owners as external participants by email — no account required. Supermajority thresholds and quorum enforcement are built into every motion.
